\noindent This Services Agreement (the ``Agreement'') is entered into as of \today\ (the ``Effective Date'') by and between:

\noindent \textbf{Client:} Acme Corporation, a company incorporated under the laws of Country, with its principal place of business at 500 Industrial Blvd, City (``Client''); and

\vspace{0.4em}

\noindent \textbf{Provider:} Example Consulting LLC, with principal place of business at 123 Example Way, City (``Provider'').

\begin{enumerate}
  \item \textbf{Services.} Provider shall perform the services described in Exhibit A (the ``Services'').
  \item \textbf{Term.} This Agreement begins on the Effective Date and continues for 12 months unless earlier terminated.
  \item \textbf{Compensation.}
    \begin{enumerate}
      \item Client shall pay Provider the fees set out in Exhibit B.
      \item Invoices are payable within thirty (30) days of issue.
      \item Late payments accrue interest at 1.5\% per month.
    \end{enumerate}
  \item \textbf{Intellectual Property.} All work product created under this Agreement is a ``work made for hire'' and belongs to Client upon payment in full.
  \item \textbf{Confidentiality.} Each party agrees to keep the other's confidential information confidential for five (5) years after disclosure.
  \item \textbf{Warranties.} Provider warrants that the Services will be performed in a professional and workmanlike manner.
  \item \textbf{Limitation of Liability.} Neither party shall be liable for indirect or consequential damages. Total liability is capped at fees paid in the preceding twelve months.
  \item \textbf{Termination.} Either party may terminate for material breach on thirty (30) days' written notice if the breach is not cured.
  \item \textbf{Independent Contractor.} Provider is an independent contractor and not an employee of Client.
  \item \textbf{Governing Law.} This Agreement is governed by the laws of Country.
  \item \textbf{Entire Agreement.} This Agreement and its Exhibits constitute the entire agreement between the parties.

\noindent\textbf{IN WITNESS WHEREOF,} the parties have executed this Agreement as of the Effective Date.
