\noindent This Mutual Non-Disclosure Agreement (the ``Agreement'') is entered into as of \today\ by and between \textbf{Acme Corporation} (``Party A'') and \textbf{Example Holdings} (``Party B'') (each a ``Party'' and together the ``Parties'').

\noindent \textbf{Purpose.} The Parties wish to evaluate a potential business relationship (the ``Purpose'') and may disclose confidential information to one another in connection with the Purpose.

\begin{enumerate}
  \item \textbf{Confidential Information.} ``Confidential Information'' means any information disclosed by one Party (``Discloser'') to the other (``Recipient''), whether oral, written, or electronic, that is marked confidential or would reasonably be considered confidential in the circumstances.

  \item \textbf{Exclusions.} Confidential Information does not include information that:
    \begin{enumerate}
      \item is or becomes publicly available through no fault of the Recipient;
      \item was in the Recipient's possession prior to disclosure;
      \item is independently developed by the Recipient without use of the Discloser's information;
      \item is lawfully received from a third party free of confidentiality obligations.
    \end{enumerate}

  \item \textbf{Obligations.} The Recipient shall:
    \begin{enumerate}
      \item use the Confidential Information solely for the Purpose;
      \item protect it using the same care as its own confidential information (but no less than reasonable care);
      \item limit access to employees and advisors with a need to know who are bound by similar confidentiality obligations.
    \end{enumerate}

  \item \textbf{Term.} This Agreement remains in effect for two (2) years from the Effective Date. Confidentiality obligations survive for five (5) years after disclosure of the relevant information.

  \item \textbf{Return or Destruction.} Upon written request, the Recipient shall return or destroy all Confidential Information and certify destruction in writing.

  \item \textbf{No License.} Nothing in this Agreement grants any license to intellectual property.

  \item \textbf{Remedies.} The Parties acknowledge that breach of this Agreement may cause irreparable harm and entitle the aggrieved Party to injunctive relief in addition to any other remedies.

  \item \textbf{Governing Law.} This Agreement is governed by the laws of Country, without regard to conflict-of-laws principles.

  \item \textbf{Entire Agreement.} This Agreement constitutes the entire agreement between the Parties concerning the Purpose.
